1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Yellowtrace Pty Ltd as trustee for The Hughes Design Trust (ABN 80 798 417 363) ("Yellowtrace", "we", "us", or "our") governing your access to and use of the CPD Central platform ("Platform"), accessible at cpd.yellowtrace.com.au.

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations, including the laws of New South Wales, Australia. If you do not agree to these Terms, you must not access or use the Platform.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. About Yellowtrace and CPD Central

CPD Central is a digital platform developed and operated by Yellowtrace Pty Ltd. The Platform provides educational content and assessment tools designed to assist architectural and design professionals in recording and tracking their continuing professional development ("CPD") activities.

The Platform is offered in connection with Yellowtrace's Sightline event series and other educational initiatives, and enables users to complete post-event assessments and receive certificates of completion.

3. Independent Platform — No Affiliation with the Australian Institute of Architects

Yellowtrace is not a related entity, partner, licensee, agent, or representative of the Australian Institute of Architects ("AIA"). Yellowtrace has no affiliation with, endorsement from, authorisation by, or formal connection to the AIA or any of its subsidiaries, related bodies corporate, chapters, or affiliates.

The CPD Central Platform is provided solely as an independent educational and assessment tool. Any reference to the AIA, AIA Registration Numbers, Continuing Professional Development ("CPD") frameworks, or CPD point requirements on the Platform is made exclusively for the purpose of assisting users in managing their own professional development records and does not constitute or imply any partnership, sponsorship, endorsement, approval, or affiliation with the AIA.

You acknowledge and agree that:

  • The Platform is an educational tool only, and any certificates or records of completion issued through the Platform are issued solely by Yellowtrace and not by, on behalf of, or in conjunction with the AIA.
  • Yellowtrace makes no representations or warranties whatsoever as to whether any CPD credits, points, certificates, or records of completion issued through the Platform will be recognised, accepted, accredited, or approved by the AIA or any other professional body, regulatory authority, or accreditation organisation.
  • It is your sole responsibility to verify the acceptance, recognition, and suitability of any CPD credits or certificates obtained through the Platform with the AIA and/or any other relevant professional body directly, prior to relying upon them for any professional accreditation, registration renewal, or compliance purpose.
  • Any queries, disputes, or concerns regarding the recognition of CPD points, accreditation requirements, or professional registration obligations must be directed to the AIA or the relevant professional body and not to Yellowtrace. Yellowtrace accepts no liability whatsoever in respect of any decision made by the AIA or any other body regarding the acceptance or rejection of CPD credits obtained through the Platform.
  • Yellowtrace shall not be liable for any loss, damage, cost, expense, or claim (whether direct, indirect, consequential, or otherwise) arising from or in connection with any reliance by you or any third party on CPD certificates or credits issued through the Platform, including but not limited to any failure to satisfy professional accreditation or registration requirements.

4. Platform Description and Limitations

The Platform enables users to:

  • Complete educational quizzes and assessments related to CPD topics
  • Receive certificates of quiz completion with associated scores
  • Access a personal dashboard to view quiz history and certificates

The Platform does not and is not intended to:

  • Provide professional, legal, architectural, or engineering advice
  • Guarantee recognition or acceptance of CPD credits by any professional body
  • Replace or substitute formal accreditation, education, or training programs
  • Act as an agent or representative of any professional accreditation body, including the AIA
  • Report CPD points directly to the AIA or any other body on your behalf (unless expressly stated otherwise for a specific feature)

5. User Accounts and Responsibilities

To access the Platform, you must create an account by providing accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality and security of your account credentials (username and password)
  • All activities that occur under your account, whether or not authorised by you
  • Promptly notifying us at privacy@yellowtrace.com.au of any unauthorised access to or use of your account
  • Ensuring that all information provided to us, including your name, email address, and AIA Registration Number (if provided), is true, accurate, and up to date

Yellowtrace shall not be liable for any loss or damage arising from your failure to maintain the confidentiality of your account credentials or from any unauthorised use of your account.

6. User Representations and Warranties

By using the Platform, you represent and warrant that:

  • All information you provide, including your AIA Registration Number (if applicable), is accurate, truthful, and belongs to you
  • You personally completed all quizzes and assessments for which you claim credit, and you did not receive unauthorised assistance
  • You will not impersonate any other person or use another person's credentials, registration numbers, or identity
  • You will not engage in any conduct that is fraudulent, deceptive, misleading, or likely to mislead any person or professional body
  • You understand that certificates issued through the Platform are records of quiz completion as administered by Yellowtrace and are not issued by or on behalf of the AIA or any other professional body
  • You accept sole responsibility for verifying the eligibility, acceptance, and applicability of any CPD credits obtained through the Platform with the relevant professional body

False or misleading representations may result in immediate suspension or termination of your account, revocation of any certificates issued, and may constitute a breach of professional conduct obligations.

7. Acceptable Use Policy

You agree not to use the Platform to:

  • Violate any applicable law, regulation, or professional code of conduct
  • Submit false, fraudulent, or misleading information
  • Attempt to gain unauthorised access to the Platform, its systems, or other users' accounts
  • Interfere with, disrupt, or place an undue burden on the Platform or its underlying infrastructure
  • Use automated systems, bots, or scripts to access or interact with the Platform without our prior written consent
  • Copy, reproduce, distribute, modify, or create derivative works from any Platform content without express written permission
  • Circumvent or attempt to circumvent any security measures, access controls, or eligibility verification processes
  • Share quiz questions, answers, or assessment content with third parties

We reserve the right to suspend or terminate your access to the Platform, without notice, if we reasonably believe you have violated this Acceptable Use Policy.

8. Intellectual Property

All content on the Platform, including but not limited to quiz content, educational materials, text, graphics, logos, icons, images, software, platform design, database compilations, and the underlying code ("Platform Content"), is the property of Yellowtrace Pty Ltd or its licensors and is protected by copyright, trademark, and other intellectual property laws of Australia and international treaties.

Subject to your compliance with these Terms, Yellowtrace grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial, professional development purposes only. This licence does not include the right to:

  • Copy, reproduce, distribute, or publicly display any Platform Content
  • Modify, adapt, translate, or create derivative works based on any Platform Content
  • Reverse engineer, decompile, or disassemble any aspect of the Platform
  • Use any data mining, robots, or similar data gathering or extraction methods

All rights not expressly granted herein are reserved by Yellowtrace.

9. CPD Certificates — Limitations and Disclaimers

Certificates issued through the Platform are records of quiz completion as administered by Yellowtrace only. You acknowledge and agree that:

  • Certificates represent that you have completed a quiz on the Platform and achieved the stated score. They do not constitute professional accreditation, certification, or endorsement by the AIA or any other professional body.
  • The acceptance, recognition, or value of any certificate for the purposes of CPD compliance, professional registration renewal, or accreditation is entirely at the discretion of the AIA or the relevant professional body, and Yellowtrace makes no warranty or representation regarding such acceptance.
  • You are solely responsible for self-reporting any CPD points to the AIA or any other professional body in accordance with their requirements and policies.
  • Yellowtrace reserves the right to revoke any certificate if it determines (in its sole discretion) that the certificate was obtained through fraud, misrepresentation, or in breach of these Terms.

10. Disclaimer of Warranties

To the maximum extent permitted by applicable law, including the Australian Consumer Law ("ACL") set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth):

The Platform and all content, features, and services provided through it are provided on an "as is" and "as available" basis, without any warranties of any kind, whether express, implied, or statutory. Yellowtrace expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, Yellowtrace does not warrant that:

  • The Platform will be available without interruption, error, defect, or delay
  • The Platform is free from viruses, malware, or other harmful components
  • The educational content, quiz questions, or assessment materials are accurate, complete, current, or suitable for any particular professional purpose
  • The results obtained from use of the Platform will be accurate, reliable, or meet your expectations or requirements

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the ACL or any other applicable law that cannot be excluded, restricted, or modified by agreement.

11. Limitation of Liability

To the maximum extent permitted by applicable law, including the ACL:

  • Exclusion of consequential loss: Yellowtrace, its directors, officers, employees, agents, contractors, and affiliates shall not be liable to you for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of business or anticipated savings, loss of data, loss of goodwill, loss of professional accreditation, or failure to maintain professional registration, howsoever arising and whether in contract, tort (including negligence), equity, statute, or otherwise, even if Yellowtrace has been advised of the possibility of such damages.
  • Aggregate liability cap: To the extent that Yellowtrace's liability cannot be excluded entirely under applicable law, Yellowtrace's total aggregate liability to you for all claims arising out of or in connection with these Terms or your use of the Platform shall not exceed the total amount paid by you (if any) to Yellowtrace for access to the Platform in the twelve (12) months immediately preceding the event giving rise to the liability, or AUD $100, whichever is greater.
  • No liability for third-party acts: Yellowtrace shall not be liable for any acts, omissions, decisions, or policies of the AIA or any other professional body, regulatory authority, or third party, including (without limitation) any decision to reject, refuse, or not recognise CPD credits, certificates, or qualifications obtained through the Platform.

You acknowledge that the limitations of liability in this section are a fundamental element of the basis of the bargain between you and Yellowtrace, and that Yellowtrace would not provide the Platform without such limitations.

Where the ACL or any other law implies a consumer guarantee that cannot be excluded, Yellowtrace's liability for breach of that guarantee is limited (at Yellowtrace's election) to the re-supply of the services or the payment of the cost of having the services re-supplied.

12. Indemnification

You agree to indemnify, defend, and hold harmless Yellowtrace Pty Ltd, its directors, officers, employees, agents, contractors, licensors, and affiliates (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your access to or use of the Platform
  • Your breach or alleged breach of these Terms or any applicable law
  • Any false, inaccurate, or misleading information provided by you, including false identity or AIA Registration Number claims
  • Your reliance on, or any third party's reliance on, any CPD certificates, credits, or records of completion issued through the Platform, including any claim relating to the acceptance, recognition, or validity of such certificates by the AIA or any other body
  • Any infringement or violation of any third party's rights, including intellectual property rights
  • Any claim by the AIA or any other professional body arising from your use of the Platform or reliance on Platform-issued certificates

This indemnification obligation shall survive the termination of your account and these Terms.

13. Termination

Termination by Yellowtrace: We may suspend or terminate your access to the Platform, your account, or any part thereof, at any time and for any reason (or no reason), at our sole discretion, without prior notice or liability. Reasons for termination may include, but are not limited to, breach of these Terms, fraudulent or abusive conduct, prolonged inactivity, or discontinuation of the Platform.

Termination by you: You may terminate your account at any time by contacting us at privacy@yellowtrace.com.au.

Effect of termination: Upon termination of your account:

  • Your right to access and use the Platform ceases immediately
  • We may delete your account data, subject to our legal obligations to retain certain records (including CPD certificate records, which are retained for a minimum of seven (7) years)
  • The following provisions shall survive termination: sections 3 (No Affiliation with AIA), 8 (Intellectual Property), 9 (CPD Certificates), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), 14 (Governing Law), 15 (Dispute Resolution), and 16 (General Provisions)

14. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia.

Subject to section 15 (Dispute Resolution), you irrevocably submit to the exclusive jurisdiction of the courts of New South Wales, Australia, and any courts competent to hear appeals from those courts, in respect of any proceedings arising out of or in connection with these Terms. You waive any objection to the venue of any proceedings on the basis that the proceedings have been brought in an inconvenient forum.

15. Dispute Resolution

Before commencing any legal proceedings (other than proceedings for urgent interlocutory relief), the parties agree to attempt to resolve any dispute arising out of or in connection with these Terms in accordance with the following procedure:

  • Step 1 — Notification: The complaining party must give written notice to the other party setting out the nature of the dispute and the outcome sought.
  • Step 2 — Negotiation: Within fourteen (14) days of receipt of the notice, the parties shall use reasonable endeavours to resolve the dispute through good faith negotiation.
  • Step 3 — Mediation: If the dispute is not resolved within thirty (30) days of the initial notice, either party may refer the dispute to mediation administered by the Australian Disputes Centre ("ADC") in Sydney, New South Wales, in accordance with the ADC Mediation Guidelines. The costs of mediation shall be shared equally between the parties.
  • Step 4 — Litigation: If mediation fails to resolve the dispute within sixty (60) days of referral, either party may commence proceedings in the courts of New South Wales, Australia.

Nothing in this section prevents either party from seeking urgent injunctive or interlocutory relief from a court of competent jurisdiction.

16. General Provisions

(a) Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Yellowtrace with respect to your use of the Platform and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written, oral, or implied.

(b) Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed from these Terms and the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

(c) Waiver

The failure of Yellowtrace to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any provision of these Terms shall only be effective if made in writing and signed by an authorised representative of Yellowtrace.

(d) Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without Yellowtrace's prior written consent. Yellowtrace may assign its rights and obligations under these Terms without restriction.

(e) Force Majeure

Yellowtrace shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, government action, failure of telecommunications networks, power failure, or cyber-attacks.

(f) Amendments

We reserve the right to modify these Terms at any time. Material changes will be notified to you by posting a notice on the Platform or by email. Your continued use of the Platform after such notification constitutes your acceptance of the revised Terms. If you do not agree with the amended Terms, you must cease using the Platform and contact us to close your account.
